These terms and conditions apply to all quotes, agreements and work carried out by AdSocials, unless agreed otherwise in writing.
1. Company details
AdSocials, Keizersgracht 127, 1015 CJ Amsterdam, The Netherlands. Chamber of Commerce (KvK) number will be added here once available. For questions about these terms or an ongoing agreement, contact info@adsocials.nl.
2. Definitions
- "AdSocials": the service provider, trading as AdSocials.
- "Client": the individual or legal entity entering into an agreement with AdSocials.
- "Services": all work carried out by AdSocials for the client, including but not limited to Paid Ads (Meta, Google, TikTok, Snapchat), email marketing (Klaviyo), creative and UGC production, landing page optimisation, and the growth scan.
3. Applicability and formation of the agreement
These terms apply to every quote, proposal and agreement between AdSocials and a client, unless the parties agree otherwise in writing.
An agreement is formed once the client accepts a quote or proposal from AdSocials in writing (including by email), or once AdSocials has started work on the client's instruction.
The growth scan itself is a free, no-obligation advisory call and does not automatically lead to an agreement for further services.
4. Delivery of services
AdSocials carries out its services to the best of its knowledge and ability, in line with proper professional standards. All services are performed on a best-efforts basis.
AdSocials does not guarantee any specific outcome, such as a particular ROAS, revenue figure, conversion rate or number of leads. Results from previous collaborations shown on this website are historical examples and do not guarantee future results, including for similar brands or sectors.
Results can be affected by factors outside AdSocials' control, including changes to the policies, algorithms or pricing of advertising platforms such as Meta, Google, TikTok and Snapchat, and by the client's own offer, stock, margins or website.
5. Access to accounts and data
To deliver its services, AdSocials may request access to advertising accounts (Meta, Google, TikTok, Snapchat), the Klaviyo account and/or the website of the client.
The client remains the owner of their own advertising accounts, customer data and Klaviyo account at all times. AdSocials does not change anything in these accounts without the client's permission, and the client can revoke granted access at any time.
6. Pricing and payment
All prices exclude VAT unless stated otherwise. Invoices must be paid within 14 days of the invoice date, unless a different payment term has been agreed in writing.
Advertising budget paid directly to platforms such as Meta, Google or TikTok falls outside AdSocials' invoicing, unless expressly agreed otherwise.
If an invoice is not paid on time, the client is in default by operation of law and AdSocials is entitled to charge statutory interest and reasonable collection costs in accordance with applicable Dutch regulations.
7. Duration and termination
Unless agreed otherwise in writing, ongoing services can be terminated with one calendar month's notice. Termination must be given in writing (including by email).
AdSocials may suspend or terminate the agreement with immediate effect if the client, despite being given notice, fails to meet payment obligations, or in the event of bankruptcy, suspension of payment, or discontinuation of the client's business.
8. Intellectual property
All creatives, ad copy, email designs and landing pages developed by AdSocials under the agreement transfer to the client's ownership once the related invoices are paid in full, unless agreed otherwise in writing.
AdSocials retains the right to use anonymised results, examples and visuals for its own promotional purposes, unless the client objects in writing.
9. Liability
AdSocials' liability for damages arising from or related to the performance of an agreement is limited to the amount paid by the client to AdSocials in the three months preceding the event giving rise to the damage.
AdSocials is not liable for indirect damages, including lost revenue or profit, nor for damages resulting from changes to the policies or functioning of third-party advertising platforms.
Nothing in these terms limits AdSocials' liability for damage resulting from intent or deliberate recklessness.
10. Confidentiality
Both parties agree to keep confidential all confidential information received from each other under the agreement, unless disclosure is legally required.
11. Force majeure
AdSocials is not required to fulfil any obligation if prevented from doing so by force majeure, which includes outages or disruptions at advertising platforms, hosting providers or other third parties engaged by AdSocials.
12. Governing law and disputes
These terms and any agreement between AdSocials and the client are governed by Dutch law. Disputes will preferably be resolved through mutual consultation. If a dispute cannot be resolved this way, it will be submitted to the competent court in the district where AdSocials is established.
13. Changes
AdSocials may update these terms and conditions from time to time. The latest version is always available on this page and applies to new agreements from the date of publication.
